    1. Acceptance of Terms

    By accessing or using zuops ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and zuops Pty Ltd ("Company," "we," "us," or "our").

    2. Description of Service

    zuops provides a subscription-based platform offering AI-powered marketing tools, ad templates, training courses, and community access for business owners. Our services include but are not limited to: AI ad copy generation, headline analysis, landing page recommendations, design improvement suggestions, template libraries, educational content, and community features.

    3. Account Registration

    To access the Platform, you must create an account. You agree to:

    • Provide accurate, current, and complete information during registration
    • Maintain and promptly update your account information
    • Maintain the security and confidentiality of your login credentials
    • Accept responsibility for all activities that occur under your account
    • Notify us immediately of any unauthorized use of your account

    4. Subscription and Payment

    Access to the Platform requires a paid subscription. By subscribing, you agree to:

    • Pay all applicable fees as described at the time of purchase
    • Authorize us to charge your payment method on a recurring basis
    • Subscriptions automatically renew unless cancelled before the renewal date
    • No refunds are provided for partial subscription periods
    • We reserve the right to modify pricing with 30 days notice

    5. Cancellation Policy

    You may cancel your subscription at any time through your account settings. Upon cancellation, your access to the Platform will be terminated immediately. No refunds will be issued for unused portions of your subscription. You are encouraged to export any important data before cancelling as you will lose access to all premium features, saved content, and community access immediately upon cancellation.

    6. Acceptable Use

    You agree not to:

    • Use the Platform for any unlawful purpose or in violation of any laws
    • Share, resell, or redistribute your account access or Platform content
    • Attempt to reverse engineer, decompile, or hack the Platform
    • Upload malicious code, viruses, or harmful content
    • Harass, abuse, or harm other users or community members
    • Use automated systems to access the Platform without permission
    • Infringe on intellectual property rights of others
    • Create false or misleading advertisements using our tools

    7. Intellectual Property

    All content on the Platform, including but not limited to templates, courses, AI-generated outputs, designs, text, graphics, logos, and software, is owned by zuops Pty Ltd or its licensors and is protected by intellectual property laws.

    You are granted a limited, non-exclusive, non-transferable license to use templates and AI-generated content for your own marketing purposes. You may not resell, redistribute, or claim ownership of Platform content or templates.

    8. AI-Generated Content

    The Platform uses artificial intelligence to generate marketing content. You acknowledge that AI-generated content is provided "as-is" and may require review and modification before use. We do not guarantee the accuracy, effectiveness, or compliance of AI-generated content with advertising platform policies. You are solely responsible for reviewing and ensuring all content complies with applicable laws and platform guidelines before use.

    9. Disclaimer of Warranties

    THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. RESULTS FROM USING OUR TOOLS AND TEMPLATES ARE NOT GUARANTEED.

    10. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZUOPS PTY LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

    11. Indemnification

    You agree to indemnify, defend, and hold harmless zuops Pty Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

    12. Modifications to Terms

    We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Platform. Your continued use of the Platform after changes constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.

    13. Termination

    We may terminate or suspend your account immediately, without prior notice, for any violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Platform will cease immediately. All provisions of these Terms which should survive termination shall survive.

    14. Governing Law

    These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Australia.
